Thanks for choosing Klaie. These Terms explain what you can expect from us and what we expect from you when you use Klaie. They're a legal agreement, so please read them carefully. The summary above is there to help, but the full text below is what applies.
1. About these Terms
These Terms of Service (the "Terms") govern access to and use of Klaie, the AI workspace provided by [Klaie legal entity name] ("Klaie", "we", "us"), including its website, web app, browser extension, APIs and related services (the "Service").
The Terms are a contract between Klaie and the organization that creates or joins a Klaie workspace (the "Customer", "you"). If you accept them on behalf of an organization, you confirm that you have authority to bind it. If you create a workspace for yourself, you are the Customer.
If the Customer has signed an order form or master agreement with Klaie, that document, these Terms and any data processing agreement ("DPA") together make up the agreement. If they conflict, the signed document prevails.
People who use the Service through a Customer's workspace ("Users") must follow these Terms and the Customer's own policies. The Customer is responsible for its Users' use of the Service.
Our Privacy Policy and Cookie Policy explain how we handle personal information.
2. Accounts and workspaces
- Eligibility. Users must be at least 18, or the age of majority where they live, and use the Service for business or professional purposes.
- Accurate information. Provide accurate account information and keep it up to date.
- Security. Keep your credentials confidential, use a strong password, and tell us promptly at [support email address] if you suspect unauthorized access. The Customer is responsible for activity under its workspace's accounts, except where it's caused by our breach of these Terms.
- One person per account. Accounts are for individuals and must not be shared.
- Administrators. The Customer's administrators manage the workspace, including who can join, roles and groups, and access to usage records and the audit log. Other workspace settings, such as which intelligence tiers, tools and integrations are available, can be changed by an administrator or at an administrator's request. Klaie follows these settings.
3. Using Klaie responsibly
We grant the Customer a non-exclusive, non-transferable right, for the duration of its subscription or pilot, for its Users to access and use the Service for the Customer's internal business purposes, in line with these Terms and our documentation.
You must not, and must not help or allow anyone else to:
- use the Service to break the law, infringe anyone's rights, or process personal information without a lawful basis;
- upload malware, or try to break, probe or get around the Service's security, permissions, workspace separation, usage limits or Sensitive-mode boundary, unless we've agreed to security testing in writing;
- use the Service, its output or its browser agent to send spam, harass or threaten people, scrape websites in breach of their terms, collect credentials, or commit fraud;
- create content that sexualizes minors, promotes or incites violence or terrorism, or is otherwise unlawful, or use the Service to develop weapons capable of mass harm;
- impersonate real people or organizations, or create images, audio or text designed to deceive people about who made them or what really happened;
- use Klaie Call or any other part of the Service to record, monitor or listen to people without their knowledge and any consent the law requires;
- use the Service for fully automated decisions with legal or similarly significant effects on people (for example in hiring, credit, housing, insurance or medical care) without meaningful human review;
- reverse engineer, copy or resell the Service, use it to build a competing product, or try to extract model weights, training data or system prompts;
- sublicense the Service or provide it to third parties, except by sharing artifacts and links as the product allows; or
- violate the usage policies of the AI providers whose models power the Service, which we'll share on request.
We may suspend access that we reasonably believe breaks this section or threatens the security or availability of the Service. Where we can, we'll tell the Customer first, and we'll restore access once the issue is resolved.
4. Your content
You own it. As between the parties, the Customer owns all data, files, prompts and other material its Users submit to the Service ("Inputs") and the output the Service generates for them ("Outputs"), together "Customer Content". To the extent Klaie has any rights in Outputs, we assign them to the Customer.
How we use it. The Customer grants Klaie a limited license to host, copy, process, transmit and display Customer Content only to provide, secure and support the Service, as described in our Privacy Policy and any DPA. We don't use Customer Content to train Klaie's own models, and we don't sell it.
Third-party AI providers. Requests in the Klaie 1, Kai 1 and Mol 1 tiers are processed by third-party AI providers named in our Privacy Policy, under their own terms. Some of those terms allow the provider to use inputs to improve its products. Klaie flags this in the product where it applies, and an administrator can ask us to turn off any tier for their organization. Sensitive mode doesn't use third-party AI providers.
Your responsibilities. The Customer is responsible for Customer Content and for having the rights, notices and consents needed to submit it, including content from connected apps and personal information about other people.
Shared links. When a User shares an artifact by link, anyone with the link and the access the User chose can see it. Public links can be switched off for a whole workspace. The Customer is responsible for what its Users share.
Similar output. AI models can produce similar output for different people. The Customer's ownership of its Outputs doesn't extend to similar output generated independently for others.
5. AI output
The Service uses machine learning, which is probabilistic. Outputs may be inaccurate, incomplete, out of date or inconsistent, even when they cite sources. Klaie shows sources, labels its own analysis and flags problems it can detect, such as spreadsheet formulas that return errors, but it can't guarantee accuracy.
The Customer is responsible for evaluating Outputs before using them, especially for legal, financial, medical, employment or safety decisions, and for decisions made and actions taken based on them. Outputs aren't professional advice. Where the law requires content to be identified as AI-generated, the Customer is responsible for doing so.
6. Connected apps, actions and the browser agent
Integrations. When a User or administrator connects a third-party service, such as Google Workspace or Microsoft 365, the Customer authorizes Klaie to access it within the permissions granted. Klaie only reads what the connected account can already access. Use of that service remains subject to its provider's terms.
Actions. Actions that have effects outside Klaie, such as sending email, posting messages or creating calendar events, need a User's approval before they run, unless an administrator has set up an approved routine to perform them. The Customer is responsible for actions its Users approve or set up.
Browser agent. When asked, Klaie can visit and interact with websites on a User's behalf. It's designed not to enter passwords, one-time codes, payment or identity details, and to stop and hand back to the User at sign-in pages, CAPTCHAs and paywalls. Users must have the right to access the sites they send it to, and are responsible for following those sites' terms.
Third-party services aren't provided by Klaie, and we're not responsible for their availability, content or practices.
7. Klaie Call and the browser extension
Klaie Call lets Users talk with Klaie by voice and share a screen, window or tab while they do. Calls are processed live and aren't recorded by Klaie, as described in our Privacy Policy. Users must only share what they're allowed to share, keeping in mind that standard calls are processed by Google as described there, and must make sure anyone else who can be heard or seen knows about the call. Call limits, such as the number and length of calls, are shown in the product.
The Klaie Call browser extension is optional and free. We license it to Users for use with the Service under these Terms. It may update automatically through the browser's extension store, and it can be paused on any site or uninstalled at any time.
8. Sensitive mode
Sensitive mode is designed for confidential material. Sensitive requests are processed only on infrastructure Klaie operates, are never sent to a third-party AI provider and never fall back to another tier. Tools that would send content outside Klaie are switched off. If the private infrastructure is unavailable, Sensitive mode is unavailable, and Klaie will say so rather than process the request anywhere else.
9. Tools, images and other things Klaie makes
Tools. Klaie can build small interactive tools, such as trackers, calculators or games. They run in a sandbox without network access and are Outputs. If a User downloads a page or tool Klaie made and publishes it elsewhere, the Customer is responsible for hosting it, its content and its compliance with the law. Klaie doesn't host websites.
Images. Klaie can generate images and draw graphics. Generated images are Outputs, are subject to daily limits shown in the product, and must not be used in breach of section 3, for example to depict real people in a false, sexual or harmful way.
10. Usage limits and fair use
To keep Klaie fast and fair for everyone, the Service applies usage limits, including limits over five-hour and weekly periods, rate limits, and caps on calls, images and some other features. Current limits are shown in the product. We may change limits as the Service evolves, and we'll give notice before materially reducing the limits of a paid plan during its term. Don't try to get around limits, for example by creating extra accounts or workspaces.
11. Pilots, trials and beta features
If the Customer uses the Service in a pilot, trial or early-access program, or uses features marked beta or preview (a "Pilot"):
- the Pilot is free of charge unless an order form says otherwise, for the period we agree;
- the Service is provided "as is", may change or be interrupted, and isn't covered by any service-level commitment;
- either party may end the Pilot at any time on written notice (email is enough);
- the Customer agrees to give reasonable feedback. Klaie may use feedback to improve the Service, and won't name the Customer publicly without its permission; and
- the liability cap for Pilots in section 19 applies.
At the end of a Pilot, unless the Customer moves to a paid plan, it has 30 days to export its content before we delete it.
12. Fees and payment
During early access, Klaie is free of charge within the usage limits shown in the product. We'll give administrators at least 30 days' notice before introducing fees, and nothing is charged unless the Customer chooses a paid plan.
Paid plans. If the Customer chooses a paid plan, its price, billing period and limits are shown at checkout or in an order form. Unless stated otherwise there:
- subscriptions are billed in advance, per member, and renew automatically for the same period until cancelled;
- an administrator can cancel at any time, and the cancellation takes effect at the end of the current billing period;
- fees are non-refundable, except where these Terms or the law require otherwise;
- fees exclude taxes, which the Customer pays (other than taxes on Klaie's income);
- if a trial ends without a paid plan, or undisputed fees are more than 30 days overdue after we've given notice, we may limit the workspace to read-only access, and the Customer can still view and export its content; and
- we'll give at least 30 days' notice of any price change, which takes effect at the next renewal.
13. Confidentiality
Each party will protect the other's non-public business, technical and product information that is marked confidential or would reasonably be understood to be confidential, using at least reasonable care. Each party will use it only to perform under these Terms, and share it only with personnel and advisers who need to know it and are bound by similar obligations. This doesn't cover information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from someone else. A party may disclose confidential information when the law requires, after giving notice where allowed. Customer Content is the Customer's confidential information.
14. Privacy, data protection and security
Each party will comply with the data protection laws that apply to it. Klaie processes personal information in Customer Content as a processor under the DPA, which is available on request at [legal email address] and forms part of these Terms when signed or accepted. Klaie maintains the security measures described in the Privacy Policy and DPA, and will notify the Customer without undue delay after becoming aware of a breach affecting Customer Content.
15. Our intellectual property and feedback
Klaie and its licensors own the Service, including its software, models, designs, documentation and trademarks, and all improvements to them. Except for the rights expressly granted in these Terms, no rights are transferred. If the Customer or its Users choose to give us feedback or suggestions, we may use them without restriction or obligation.
16. Copyright complaints
We respect intellectual property rights. If you believe content made available through the Service, such as a publicly shared artifact, infringes your copyright, send a notice to [legal email address] that includes: your physical or electronic signature; a description of the copyrighted work; the location of the content you believe infringes it (such as the link); your contact details; a statement that you believe in good faith that the use isn't authorized by the owner, its agent or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you're the owner or authorized to act for the owner. We'll respond to valid notices, which may include removing or disabling access to the content, and we may close the accounts of repeat infringers.
17. Suspension and termination
These Terms apply from when the Customer first accepts them until all of its subscriptions and Pilots end.
- By the Customer. The Customer may stop using the Service at any time. Prepaid fees aren't refunded except as these Terms provide.
- By either party. Either party may terminate for a material breach that isn't cured within 30 days of written notice, or immediately if the other party becomes insolvent.
- Suspension. We may suspend access as described in sections 3 and 12, or immediately where needed to prevent serious harm to the Service, other customers or anyone else.
When the agreement ends, access ends. For 30 days afterwards, Klaie will make Customer Content available for export on request. After that, it will be deleted as described in the Privacy Policy. Sections that by their nature should survive, including sections 4, 5, 13, 15, 16 and 18 to 23, survive termination.
18. Warranties and disclaimers
Each party warrants that it has the authority to enter into these Terms. For paid subscriptions, Klaie warrants that the Service will perform materially as described in its documentation. If it doesn't, the Customer's remedy is for Klaie to correct the problem or, if Klaie can't do so within a reasonable time, to end the affected subscription and refund prepaid fees for the rest of its term.
Except as expressly stated in these Terms, the Service, Outputs and Pilots are provided "as is" and "as available", and Klaie disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy of Outputs and uninterrupted or error-free operation, to the extent the law allows.
Klaie is designed for business use. If the law where you are gives you consumer rights or guarantees that can't be excluded or limited by contract, nothing in these Terms excludes or limits them.
19. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data (other than Klaie's obligation to restore data from backups), even if it was told they were possible; and
- each party's total liability arising out of or relating to these Terms is limited to the fees the Customer paid or owed to Klaie in the 12 months before the event that gave rise to the claim or, for a Pilot or other free use, to USD 100.
These limits don't apply to a party's indemnity obligations, the Customer's obligation to pay fees, a breach of section 3, gross negligence, fraud or willful misconduct, or any liability that can't be limited by law.
20. Indemnities
By Klaie. Klaie will defend the Customer against third-party claims that the Service, as provided by Klaie, infringes their intellectual property rights, and pay the resulting damages and costs finally awarded or agreed in settlement. This doesn't apply to claims arising from Customer Content, from Outputs the Customer modifies or combines with other material, from third-party services, or from use in breach of these Terms. If the Service is or may be found to infringe, Klaie may modify it, obtain a license, or end the affected subscription and refund prepaid fees for the rest of its term.
By the Customer. The Customer will defend Klaie against third-party claims arising from Customer Content, from actions its Users approve or set up, or from use of the Service in breach of section 3, and pay the resulting damages and costs finally awarded or agreed in settlement.
Process. The party seeking protection must notify the other promptly, give it control of the defense and settlement (no settlement may admit fault by the protected party without its consent), and provide reasonable help.
21. Changes to the Service and these Terms
We're always improving Klaie, and we may add, change or remove features. We won't materially reduce the core functionality of a paid subscription during its term.
We may update these Terms. When we do, we'll post the new version here with a new date. For material changes, we'll give administrators at least 30 days' notice. The changes take effect at the next renewal for paid subscriptions, or at the end of the notice period for Pilots and free use. Continuing to use the Service after that means the Customer accepts the updated Terms. If the Customer doesn't agree, it can stop using the Service before the changes take effect.
22. Governing law and disputes
If a dispute arises, the parties will first try in good faith to resolve it through discussion between senior representatives for 30 days. These Terms are governed by the laws of [Governing law], without regard to its conflict-of-laws rules. The courts of [Courts with jurisdiction] have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court to protect its confidential information or intellectual property.
23. General
- Entire agreement. These Terms, any order form and the DPA are the whole agreement on their subject, and replace any earlier discussions.
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of the relevant business or assets, with notice.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including failures of AI providers or networks. This doesn't apply to payment obligations.
- Export and sanctions. Each party will comply with export control and sanctions laws. The Service may not be used in or for embargoed countries, or by restricted parties.
- Publicity. Klaie may list the Customer's name and logo as a customer only with the Customer's permission.
- Notices. Notices to Klaie go to [legal email address]. Notices to the Customer go to its administrators' email addresses.
- No waiver; severability. Not enforcing a provision isn't a waiver of it. If a provision is found unenforceable, the rest of the Terms remain in effect.
- Independent parties. The parties are independent contractors, and there are no third-party beneficiaries.
